A registered direct offering also known as an overnight deal is a discrete securities offering usually made to a small group of investors on terms that are based on whatever the current market price is immediately before the offering is done It's distinguished from an at-the-market offering in that an at-the-market offering is usually done just out into the market where the underwriter is selling securities to whoever is bidding on them A registered direct usually is directed at a small group usually institutional or high net worth accredited investors who want to buy a portion of a company's stock in a follow-on
