Company counsel is primarily charged with preparing the registration statement on Form S-1 which is the document that most investors see when they want to participate in an IPO Company counsel is also responsible for negotiating the underwriting agreement between the company and the investment bank who's their underwriter as well as coordinating due diligence from the company side and facilitating communication across the parties
